UGC Terms of Use

1. Services Provided

Make Upinion provides UGC services, including but not limited to:

• Custom video and photo content creation for beauty brands
• Product reviews and testimonials
• Collaborative promotional campaigns
• Content for platforms such as YouTube, Instagram, and TikTok

These services are tailored to the specific needs of each client, and Make Upinion reserves the right to adjust services as necessary.

2. Intellectual Property

All content created by Make Upinion, including but not limited to videos, photos, and written materials, remains the intellectual property of Make Upinion unless otherwise agreed upon in writing.

Upon full payment for services, the client is granted a non-exclusive, non-transferable license to use the content for agreed-upon purposes. Unauthorized use of the content outside of the agreed scope will be considered a violation of these terms.

3. Client Responsibilities

Clients are responsible for providing accurate, complete, and timely information necessary for the creation of UGC content. This includes product details, brand guidelines, and any specific requests related to the content.

Make Upinion is not responsible for any delays or issues caused by the client's failure to provide required information.

4. Content Approval and Revisions

After delivery of UGC content, the client has the right to request reasonable revisions within a specified timeframe (typically 7 days, unless otherwise agreed upon). Any additional revisions beyond this scope may incur additional charges.

Once content is approved by the client, it is considered final. Any subsequent changes will be treated as new projects and may incur additional fees.

5. Payment Terms

All payments for UGC services must be made in accordance with the agreed pricing and payment schedule. Make Upinion accepts payments through secure methods, including Stripe.

Payment is required in full before final content delivery. Make Upinion reserves the right to withhold content delivery until payment is received.

6. Use of Client Materials

The client agrees to grant Make Upinion the right to use any provided materials (such as products, logos, or brand assets) solely for the purpose of creating UGC content. Make Upinion will not use client materials for any other purpose without the client’s explicit consent.

7. Cancellation and Refunds

Cancellations must be made in writing. If a project is canceled after work has begun, the client is responsible for paying for any completed work at the time of cancellation.

Refunds are not available once content has been delivered, except in cases of non-compliance with the agreed terms.

8. Limitation of Liability

Make Upinion is not liable for any indirect, incidental, or consequential damages arising from the use of content created for the client. The total liability for any claim related to services provided will not exceed the amount paid by the client for those services.

9. Termination of Agreement

Either party may terminate the agreement in writing if the other party breaches these terms. Upon termination, all completed work must be paid for in full.

10. Governing Law

These Terms of Use are governed by and construed in accordance with the laws of Washington DC. Any disputes arising under these terms will be resolved in Washington DC.
